1. About these terms

These terms apply to your use of arcanysventures.vc and ventures.arcanys.com (the "site"). The site is operated by Arcanys Ventures Two Pte. Ltd., 51 Lorong 21 Geylang, #04-03, Space 21, Singapore 388466, a company registered in Singapore (UEN 202532417C) ("Arcanys Ventures", "we", "us").

By using the site, you agree to these terms. If you do not agree, please do not use the site. Our privacy policy explains how we handle personal data, and our important information for investors applies to any information about our funds.

2. What the site is for

The site describes Arcanys Ventures, our investment model, our team and our portfolio, and lets founders apply for investment and investors request information about our funds. It is general information. It is not advice and not an offer of any investment.

3. Applying for investment

When you apply or send us material about your company:

  • You keep your rights. You keep all rights in what you send us. We use it only to assess your company and, if we invest, to manage our investment.
  • Who sees it. Our investment team and the Arcanys engineers and product specialists who carry out technical reviews may see it, as may our professional advisers, all under duties of confidentiality. We do not share it with other investors without your agreement.
  • No NDA at first. We do not sign non-disclosure agreements at the screening stage. We are happy to sign one before an in-depth technical product review. Please do not send anything at application stage that you could not share without a non-disclosure agreement.
  • We see many companies. We review many companies, some of which may compete with yours, and we may already be invested in, or later invest in or work with, such companies. Receiving your material does not limit us from doing so, provided we do not misuse your confidential information.
  • No obligation. Applying does not create any obligation on either side to invest or accept investment, or any advisory or fiduciary relationship. Any investment is made only under signed agreements.
  • Accuracy and permission. You confirm that what you send us is accurate to the best of your knowledge and that you are entitled to share it, including any personal data about your team, shareholders or others.
  • Ideas sent outside an application. If you send us ideas or suggestions outside an application, we may use them without any obligation to you.

4. Information about investments

  • Not an offer. Nothing on the site is an offer to sell, or a solicitation of an offer to buy, any security or interest in a fund. Any offer is made only through the fund's offering documents, to eligible investors, in places where it is lawful.
  • Eligible investors only. Information about our funds is intended only for professional, qualified, accredited or wholesale investors, as those terms are defined in their country, and only where it may lawfully be provided. It is not directed at US persons or at anyone in the United States.
  • No advice. Nothing on the site is investment, legal, tax or accounting advice. Take your own advice before making any investment.
  • Past performance. Figures about our track record, such as survival rates, follow-on funding and valuation markups, are historical, unaudited, and calculated on the basis stated next to them. Past performance is not a reliable guide to future results. Early-stage investments are risky and you can lose all the money you invest.
  • Forward-looking statements. Targets, plans and projections may not be achieved.
  • Portfolio companies and quotes. Names, logos and quotes of portfolio companies and founders appear with their permission. They describe their experience working with us and are not an endorsement of any investment.
  • Awards and ratings. Awards and ratings shown on the site are given by third parties and link to their source.

5. Our content

The site and its content, including text, design, graphics, logos and the Arcanys and Arcanys Ventures names, belong to us or to the people who licensed them to us. You may view the site, share links to it and quote short extracts with attribution. You may not copy, republish or use the content for commercial purposes, or use our names and logos, without our written permission.

6. Using the site

You agree not to:

  • use the site in a way that breaks the law or infringes anyone's rights;
  • send false information, or apply in someone else's name;
  • try to gain unauthorised access to the site or its systems, or disrupt them;
  • use robots, scrapers or other automated means to collect content or data from the site;
  • upload viruses or other harmful code.

7. Other websites

The site links to websites run by others, such as our portfolio companies, award organisers and LinkedIn. We do not control those sites and are not responsible for their content or how they handle your data.

8. Availability and accuracy

We work to keep the site accurate and available, but we provide it as it is. We do not promise that it will always be available, error-free or complete, and we may change or remove content at any time.

9. Our liability

To the extent the law allows, we are not liable for any loss arising from your use of, or reliance on, the site or its content, including indirect or consequential loss and loss of profits, data or opportunity.

Nothing in these terms limits liability that cannot be limited by law, including liability for intent or gross negligence, or for death or personal injury caused by negligence, or any rights you have as a consumer that cannot be waived.

10. Changes to these terms

We may update these terms. The date at the top shows the latest version. The version in force when you use the site applies.

11. Governing law and courts

These terms are governed by the laws of Singapore, without regard to their conflict-of-law rules. The courts of Singapore have exclusive jurisdiction over any dispute about these terms or the site, except that consumers keep any right to bring proceedings in the courts of their home country.

12. General

If any part of these terms is found invalid, the rest continues to apply. If we do not enforce a right straight away, we can still enforce it later. These terms are written in English, and the English version applies.
